1. Who we are and this agreement
Repocellar is operated by [YOUR LLC NAME], a limited liability company organized in New Mexico, USA (“we”, “us”). These terms are an agreement between you and us. By creating an account, installing the Repocellar Chrome extension, or using the website, you agree to them. If you use Repocellar for an organization, you confirm you may bind it, and “you” includes that organization.
2. Who can use Repocellar
- You must be at least 13 years old, and old enough in your country to agree to these terms on your own. If you are under 18, a parent or guardian must agree to them for you.
- You must follow GitHub’s own terms when you use Repocellar with your GitHub account.
- You may not use Repocellar if you are barred from receiving services under U.S. law or the laws of your country.
3. What Repocellar does
- Repocellar copies GitHub repositories you choose into private storage, checks the copy, lets you download it, and on paid plans can remove the repository from GitHub (Archive) and recreate it there later (Restore).
- Backups contain Git data only. Issues, pull request discussions, wikis, releases and their files, Actions secrets and repository settings are not included.
- The Chrome extension is provided as a ZIP file from your dashboard and is installed through Chrome’s Developer mode. It does not update itself; you are responsible for installing updates we publish. It may not be installable on devices managed by an employer or school.
- Features differ by plan. The current plans and limits are shown on the pricing section of our homepage and in your account.
- We may change, add or remove features. If we remove a paid feature you rely on, we will give reasonable notice and, where required, a pro-rated refund.
4. Your responsibilities
- Only act on repositories you own or are authorized to back up, delete and restore. You are responsible for the content you store.
- Keep your login details secure and tell us promptly if you believe your account has been compromised.
- Keep an independent copy of anything you cannot afford to lose. Repocellar checks each backup, but no single service should be the only copy of important work.
5. Removing repositories from GitHub
Archive removes a repository from GitHub using permission you grant to Repocellar on GitHub. It runs only after a backup passes its check and after you confirm by typing the repository’s name. You understand that:
- Removal on GitHub is carried out at your direction and is permanent on GitHub’s side, except for any recovery GitHub itself offers, which we do not control.
- Data that is not part of a Git backup (see section 3) is lost on GitHub when the repository is removed. Stars, watchers, forks’ links, and links from other sites are not restored.
- You should download and inspect the backup yourself before archiving anything you consider critical.
6. Plans, billing and cancellation
- Paid plans are sold by Paddle.com Market Limited (“Paddle”), which acts as our reseller and Merchant of Record. Paddle’s buyer terms apply to your purchase, and Paddle handles payment, invoicing, and sales tax or VAT.
- Subscriptions renew automatically each billing period until you cancel. You can cancel at any time in Settings → Subscription; paid features stay on until the end of the period you paid for.
- If a renewal payment fails, paid features continue for a short grace period while Paddle retries. If payment is not completed, the account moves to Free.
- We will give at least 30 days’ notice of a price increase, which applies from your next renewal after the notice period.
- Refunds are described in our refund policy.
- Ending or downgrading a subscription does not delete your backups. Existing backups stay downloadable; new uploads pause while you are over the Free storage limit.
7. Acceptable use
You may not use Repocellar to:
- store or share material that is unlawful, infringes someone else’s rights, or that you have no right to store;
- store malware intended to harm others, or use the service to attack any system;
- access another person’s account or data, probe or overload our systems, or get around plan limits or security controls;
- resell the service or use it to provide backup services to third parties without our written permission.
We may remove content or suspend accounts that break these rules, and we may report unlawful activity to the authorities.
8. Your content
You keep all rights to the repositories and backups you store. You give us a limited permission to host, copy, check, transmit and delete them only as needed to run Repocellar for you. We do not look at backup contents except where you ask us to for support, where needed to investigate abuse or a security incident, or where the law requires it.
9. Copyright complaints (DMCA)
If you believe material stored with Repocellar infringes your copyright, send a notice to our designated agent at copyright@repocellar.com or by mail to [REGISTERED ADDRESS], New Mexico, USA. Include: your signature; identification of the copyrighted work; identification of the material and enough information for us to find it; your contact details; a statement that you have a good-faith belief the use is not authorized; and a statement, under penalty of perjury, that the notice is accurate and you are authorized to act.
If your material was removed and you believe that was a mistake, you may send a counter-notice to the same address as described in 17 U.S.C. § 512(g). We terminate the accounts of repeat infringers in appropriate circumstances.
Legal review required: register the designated DMCA agent with the U.S. Copyright Office and confirm the address above.
10. Services we rely on
Repocellar works with GitHub, Google Chrome, Paddle, Supabase, Cloudflare and Vercel. We are not affiliated with, endorsed or sponsored by GitHub, Inc. or Google LLC. Outages or changes at those services can affect Repocellar, and their own terms apply to your use of them.
11. Suspension and closing your account
- You can close your account at any time in Settings. Sign-in stops immediately, and your backups and account data are permanently deleted after a 7-day grace period. Closing your account does not change anything on GitHub.
- We may suspend or close an account that breaks these terms, puts others at risk, or where the law requires it. Where reasonable, we will tell you first and give you a chance to download your backups.
- If we decide to discontinue Repocellar, we will give at least 30 days’ notice so you can download your backups.
12. Disclaimers
We work hard to keep Repocellar reliable and your backups intact, but the service is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and we do not promise that the service will be uninterrupted or error-free, or that any backup or restore will succeed in every case.
13. Limitation of liability
To the extent the law allows, neither we nor our members, employees or suppliers will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, or data, arising from your use of Repocellar. Our total liability for any claim relating to these terms or the service is limited to the greater of the amount you paid us in the 12 months before the claim arose, or US$50.
Some jurisdictions do not allow certain limitations. Where that is the case, these limits apply only as far as the law permits, and nothing in these terms limits rights you have as a consumer that cannot be waived.
14. Indemnity
If someone brings a claim against us because of content you stored, or because you acted on a repository you were not authorized to act on, you agree to cover our reasonable costs and liabilities from that claim, to the extent the law allows.
15. Governing law and disputes
These terms are governed by the laws of the State of New Mexico, USA, without regard to conflict-of-law rules. Before filing a claim, please contact us at support@repocellar.com so we can try to resolve it informally within 30 days. Any dispute that is not resolved will be decided by the state or federal courts located in New Mexico, and you and we consent to their jurisdiction. If you are a consumer living in the EU, the UK or another country whose laws give you the right to bring claims in your local courts or under your local law, you keep that right.
Legal review required: decide whether to add an arbitration agreement and class-action waiver, and confirm venue wording.
16. Changes to these terms
We may update these terms. For material changes we will give at least 30 days’ notice by email or in the dashboard. Continuing to use Repocellar after the change takes effect means you accept it; if you don’t, you can close your account.
17. Everything else
These terms, together with the privacy policy and refund policy, are the whole agreement between you and us about Repocellar. If any part is found unenforceable, the rest stays in effect. Not enforcing a part of these terms is not a waiver. You may not transfer these terms without our consent; we may transfer them to a successor of our business with notice to you.
